Maxis plans to take over Astro’s broadband operations under a conditional agreement worth up to RM83 million, the companies disclosed in separate Bursa Malaysia filings. They expect completion by the second quarter of 2027 unless unforeseen delays arise.

The buyer is Maxis Broadband Sdn Bhd, Maxis’ wholly owned subsidiary. The seller, MEASAT Broadcast Network Systems Sdn Bhd, is wholly owned by Astro Malaysia Holdings. The proposed transfer includes its broadband customer base of 178,631 active subscribers as at 28 February 2026, plus contracts, equipment, software and inventories. Astro will retain its brand name, trademarks and goodwill.

According to The Star, transferring at least 155,000 subscribers would trigger the maximum RM83 million payment. The price would be RM82 million if 150,000–154,999 subscribers move, or RM80 million if the number is 145,000–149,999. Below 145,000, each subscriber short of that threshold would reduce the payment by RM500.

Maxis said internally generated funds would finance the deal. It expects the purchase to extend its fibre broadband reach and increase opportunities to offer existing services to households. Both companies plan support agreements covering customer migration and network equipment integration to help maintain service continuity.

Astro said the disposal would help it redirect resources towards content, advertising and entertainment. It anticipates a RM31.4 million net gain after removing the net assets from its accounts. Most proceeds are earmarked for working capital and general corporate purposes, with RM1.65 million allocated to transaction costs.

The sale needs Astro shareholders’ approval. Maxis must also receive written notification from the Malaysian Communications and Multimedia Commission confirming it will not formally assess the transaction. Astro Fibre stopped taking new subscriptions in February 2026 until further notice, while existing customers could continue using the service.
