Adhi Karya plans shareholder vote on divestment and rights issue funds
The proposed sale of shares in PT Jasamarga Jogja Solo would exceed 50% of the company’s net assets, according to its stock exchange disclosure.

PT Adhi Karya (Persero) Tbk has scheduled an extraordinary shareholders’ meeting for 13 November 2026 to consider a stake sale and changes to its use of rights issue proceeds. The two proposals were detailed in a disclosure to the Indonesia Stock Exchange.
Adhi Karya intends to divest its shareholding in affiliated company PT Jasamarga Jogja Solo. It said the transaction’s value would exceed 50% of its net assets based on its latest audited accounts. Shareholders must decide on transactions above that threshold under OJK Regulation No. 17/POJK.04/2020, covering material transactions and changes in business activities, and Article 12(7) of the company’s articles of association.
The other proposal concerns how proceeds from the second rights issue, PMHMETD II, will be used. The revised plan differs from the plan recorded in the prospectus and/or the outcome of an earlier shareholders’ meeting. The change represents more than 10% of total offering proceeds, requiring shareholder approval under Article 16(1)(a) of OJK Regulation No. 40 of 2025 on the use of public offering proceeds.
The meeting is planned for 14.00 WIB at ADHI Tower, on the 16th floor, in Cawang, East Jakarta.
