Standard Chartered has entered into definitive agreements under which Standard Chartered I H Limited will purchase a 100% stake in Zodia Custody Limited. The transaction still requires regulatory clearance and fulfilment of the customary conditions for completion.

The business oversees regulated entities across five markets: Singapore, Hong Kong, Australia, the UAE and Luxembourg. The signing follows acceptance in May 2026 of the bank’s offer, which was non-binding.

Following completion, Zodia’s regulated custody activities will become part of Standard Chartered’s Securities Services unit. The bank said the combination should bring revenue synergies and enhance its digital asset capabilities. It also supports the bank’s planned single global platform for institutional clients to access services covering both digital assets and traditional securities.

Standard Chartered said it does not anticipate disruption for existing Zodia Custody customers and expects their services to carry on unchanged.

Separately, assets belonging to Zodia’s software and professional services business for digital assets will move to Zodia Solutions. This independent entity will sit under SC Ventures and supply financial institutions, including Standard Chartered, with technology infrastructure for launching and expanding digital asset services.

Backers of Zodia Solutions will include Northern Trust, NAB Ventures, Further Ventures, SBI Ventures Asset and Emirates NBD. Investcorp will participate through Zodia Investments Limited, while SC Ventures will invest through Zodia Holdings Limited.
