Two substantial shareholders of Toyo Ventures Holdings Bhd have proposed taking the ink manufacturer private through a selective capital reduction and repayment exercise. Entitled shareholders would receive RM0.28 per share, the company told Bursa Malaysia.

Eng Lian (L) Inc and Bukit Asa Sdn Bhd requested the exercise and asked the board to put it before non-interested shareholders for approval. Under the proposal, shares belonging to entitled shareholders would be cancelled, leaving non-entitled shareholders owning all of the company’s equity.

As at 13 October 2026, Toyo Ventures had approximately RM192.7 million in issued share capital, comprising 165.90 million shares. The company said the repayment would give entitled shareholders an opportunity to sell their investment at a premium to the prevailing market price.

Toyo Ventures said private ownership would provide more flexibility in allocating resources to core businesses, managing capital needs and pursuing operational and strategic measures. It also said leaving the Main Board would reduce listing-related costs and demands on management resources. The proposing shareholders appointed RHB Investment Bank Bhd as principal adviser.

Bursa Malaysia separately said trading in Toyo Ventures shares would restart at 9 am on 20 October 2026. Trading had been suspended at the company’s request at 9.29 am on 19 October, after the shares opened at 24.5 sen.
