PT Astra International Tbk (ASII) plans to buy additional shares in PT Astra Otoparts Tbk (AUTO) through a voluntary tender offer priced at Rp3,600 per share. Acquiring all the shares covered by the offer would raise its holding from about 80% to a maximum of 84.947%.

The shares involved represent about 4.947% of Astra Otoparts’ issued and paid-up capital. Astra estimates the purchase would require about Rp858 billion if completed in full, and it would remain the controlling shareholder.

In an exchange disclosure cited on 12 October 2026, Astra’s management pointed to Astra Otoparts’ performance and strong cash generation as reasons for the planned increase. It said the move also reflected its commitment to supporting the automotive components business.

Astra said it would use internal cash to fund the transaction, retain at least 15% free float and comply with Indonesian capital-market rules. Management said the proposal would have no material effect on the company’s operations, legal position, finances or business continuity, while maintaining discipline in capital spending and preserving a strong balance sheet.
